Legal Agreements

Please read and acknowledge the following agreements.

Non-Disclosure Agreement (NDA)

By accepting this agreement, I acknowledge and agree to the following terms:

Definition of Confidential Information: "Confidential Information" includes, but is not limited to: trade secrets, proprietary data, business strategies, financial information, client and customer lists, technical specifications, software code, algorithms, product designs, marketing plans, pricing information, vendor relationships, employee information, and any other information designated as confidential by TwinAI.
Exclusions: Confidential Information does not include information that: (a) is or becomes publicly available through no fault of mine; (b) was known to me prior to disclosure; (c) is independently developed by me without use of Confidential Information; or (d) is disclosed pursuant to a valid court order.
Obligations: I agree to: (a) hold all Confidential Information in strict confidence; (b) use Confidential Information only for purposes related to my employment; (c) not copy, reproduce, or distribute Confidential Information without authorization; (d) take reasonable security measures to protect Confidential Information.
Non-Disclosure: I will not disclose, publish, or otherwise reveal any Confidential Information to any third party during or after my employment without prior written authorization from TwinAI.
Return of Materials: Upon termination of employment or upon request, I will immediately return all documents, files, devices, and materials containing Confidential Information, including all copies and derivatives.
Duration: This obligation of confidentiality shall survive the termination of my employment and remain in effect for a period of five (5) years thereafter, or indefinitely for trade secrets.
Remedies: I acknowledge that breach of this agreement may cause irreparable harm to TwinAI, and TwinAI shall be entitled to seek injunctive relief in addition to other legal remedies.

Non-Compete Agreement

By accepting this agreement, I acknowledge and agree to the following terms:

Non-Competition Period: During my employment and for a period of twelve (12) months following termination (regardless of reason), I agree not to directly or indirectly engage in, own, manage, operate, consult for, or be employed by any business that competes with TwinAI.
Scope of Competition: "Competing business" means any entity engaged in artificial intelligence, digital twin technology, simulation software, or related technology services that are substantially similar to TwinAI's current or planned products and services.
Geographic Limitation: This restriction applies to all geographic regions where TwinAI conducts business or has active customers at the time of my termination.
Non-Solicitation of Employees: For a period of twelve (12) months following termination, I agree not to directly or indirectly recruit, solicit, hire, or encourage any TwinAI employee or contractor to leave their position.
Non-Solicitation of Clients: For a period of twelve (12) months following termination, I agree not to solicit, contact, or attempt to conduct business with any client, customer, or prospective customer of TwinAI with whom I had contact during my employment.
Consideration: I acknowledge that my employment and access to Confidential Information constitutes adequate consideration for these restrictions.
Reasonableness: I acknowledge that the restrictions in this agreement are reasonable and necessary to protect TwinAI's legitimate business interests.
Severability: If any provision is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.

Employment Terms & Conditions

By accepting this agreement, I acknowledge and agree to the following:

At-Will Employment: I understand that my employment is "at-will" and may be terminated by either party at any time, with or without cause or notice, except as otherwise provided by applicable law.
Company Policies: I agree to comply with all company policies, procedures, and the employee handbook as may be amended from time to time. I understand it is my responsibility to review and understand these policies.
Intellectual Property Assignment: I agree that all inventions, ideas, designs, software, documentation, and other work product conceived, created, or developed by me during my employment, whether during business hours or otherwise, that relate to TwinAI's business shall be the sole and exclusive property of TwinAI. I hereby assign all such intellectual property rights to TwinAI.
Prior Inventions: I have disclosed to TwinAI any prior inventions or intellectual property that I wish to exclude from this assignment.
Background Check: I consent to TwinAI conducting background checks as permitted by law, including verification of employment history, education, and criminal records.
Drug-Free Workplace: I agree to comply with TwinAI's drug-free workplace policy and consent to drug testing as required by company policy.
Accurate Information: I certify that all information provided in this onboarding form is true, accurate, and complete. I understand that any misrepresentation or omission may result in termination of employment.
Governing Law: This agreement shall be governed by the laws of the state where TwinAI's principal place of business is located.
